TERMS OF USE

These Terms of Use govern your access to and use of Direct Owner’s Units, also known as DOU, including our website, property pages, dashboards, forms, communications, property materials, and related services.

Direct Owner’s Units / DOU is a brand operated by CITADEL PARTNERS REAL ESTATE L.L.C, a company registered in Dubai, United Arab Emirates, under Trade License No. 1603160 and RERA Registration No. 60820.

By accessing or using our platform, creating an account, submitting information, viewing property materials, contacting us, or sharing materials made available through DOU, you agree to these Terms of Use and to our Privacy Policy. If you do not agree, you should not use the platform.

1. About DOU

DOU is a Dubai real estate platform and distribution infrastructure for property information, owner-managed inventory, professional agent collaboration, property enquiries, viewing coordination, and transaction facilitation.

The platform is intended to support professional real estate communication and property discovery. Unless expressly agreed in writing, DOU is not a party to any sale, purchase, lease, mortgage, financing arrangement, or other transaction between users, owners, buyers, tenants, brokers, agents, or third parties.

2. Eligibility and user responsibility

You must be at least 18 years old and legally capable of using the platform.

Certain parts of the platform, property materials, tools, or inventory may be intended for licensed, registered, qualified, or invited real estate professionals. We may request information such as your name, email, phone number, company, role, RERA number, BRN, ORN, license details, or other professional information where relevant.

You agree that all information you provide to us will be accurate, current, complete, and not misleading. You are responsible for keeping your information updated.

We may approve, reject, suspend, restrict, or terminate access to the platform where we reasonably believe this is necessary to protect DOU, property owners, users, platform security, regulatory compliance, or our commercial interests.

3. Accounts and security

If you create an account, you are responsible for maintaining the confidentiality of your login details and for all activity under your account.

You must not share, sell, transfer, or allow unauthorized use of your account. You must notify us promptly if you believe your account has been accessed without authorization or your credentials have been compromised.

We are not responsible for losses caused by your failure to protect your account credentials.

4. Property information and platform content

Property information on the platform may include prices, availability, sizes, layouts, views, furnishing status, ownership or seller information, documents, brochures, photos, videos, floor plans, viewing details, commission information, and other property-related materials.

This information may be provided by property owners, agents, brokers, users, DOU team members, public sources, third-party documents, or other sources. Although we aim to keep information useful and practical, property information may change, become unavailable, contain errors, or be incomplete.

We do not guarantee that any property is available, exclusively available, accurately priced, correctly described, approved for public advertising, suitable for your purpose, or free from third-party claims.

You are responsible for verifying all property information, ownership authority, availability, pricing, documentation, regulatory requirements, and transaction details before relying on the information or taking any action.

5. No advice or binding offer

The platform and its content are provided for general real estate information and professional convenience only.

Nothing on the platform constitutes legal, financial, tax, investment, valuation, mortgage, regulatory, or professional advice. Nothing on the platform constitutes a binding offer, guarantee, commitment, representation, solicitation, or recommendation to buy, sell, lease, advertise, finance, or otherwise transact in any property.

You should obtain independent professional advice where required before making any decision or entering into any transaction.

6. Professional sharing and public advertising

This section is important.

DOU may make property materials available to users for legitimate professional real estate purposes, including internal review, property evaluation, private communication with genuine clients or counterparties, viewing coordination, enquiry handling, and transaction discussions.

Subject to these Terms, eligible users may privately share property materials directly with genuine clients, colleagues, prospects, counterparties, or transaction participants for legitimate professional purposes.

However, access to DOU property materials does not by itself grant any user the right to publicly advertise, publicly list, repost, mass distribute, publish on property portals, publish on websites, publish on social media, run paid advertisements for, syndicate, scrape, copy into another database, or otherwise publicly promote any property.

If your intended use of any property material is public advertising, portal listing, social media promotion, paid marketing, mass distribution, regulated real estate marketing, or any other activity requiring owner consent, Form A, DLD/RERA permit, Trakheesi/Madmoun QR code, brokerage authorization, license, approval, or other regulatory requirement, you are solely responsible for obtaining and maintaining all required consents, contracts, permits, approvals, and licenses before carrying out that activity.

DOU does not authorize you to publicly advertise or publicly promote any property unless this has been expressly confirmed in writing and all applicable legal and regulatory requirements have been satisfied.

You must not:

• represent yourself as the owner, seller, exclusive agent, listing agent, or authorized advertiser of any property unless you are legally authorized to do so;
• imply that DOU has granted you public advertising rights unless DOU has expressly confirmed this in writing;
• publish, repost, or promote any property material in breach of DLD, RERA, Trakheesi, Madmoun, UAE law, advertising rules, portal rules, intellectual-property rights, privacy rights, or owner instructions;
• alter property information in a misleading way;
• create fake, duplicate, bait, misleading, unavailable, or unauthorized listings;
• impersonate any owner, seller, buyer, tenant, agent, broker, company, authority, or DOU representative.

You are solely responsible for determining whether your intended use is private professional sharing or public/regulated advertising. When in doubt, you must obtain independent legal or regulatory advice before publishing or promoting any property material.

7. User-submitted content

You may submit information, enquiries, property details, documents, photos, videos, links, messages, profile information, or other materials through the platform.

By submitting content, you represent and warrant that:

• the content is accurate and not misleading to the best of your knowledge;
• you have the right, authority, consent, and lawful basis to submit it;
• the content does not infringe any third-party rights, privacy rights, intellectual-property rights, confidentiality obligations, or legal obligations;
• the content does not contain unlawful, defamatory, fraudulent, harmful, malicious, or misleading material;
• the content does not impersonate another person, company, owner, seller, broker, agent, or authority.

You retain ownership of your submitted content where applicable. However, you grant DOU a non-exclusive, worldwide, royalty-free license to host, store, process, reproduce, format, display, share, transmit, analyze, and use the content as reasonably necessary to operate, improve, protect, and provide the platform and related services, subject to our Privacy Policy.

8. Prohibited activities

You must not use the platform to:

• break any applicable law, regulation, professional rule, or platform rule;
• misuse property materials or user data;
• scrape, harvest, bulk download, copy, mirror, reverse engineer, or build a competing database from platform data without our written permission;
• bypass security, permissions, verification, rate limits, or access controls;
• upload malware, spam, automated abuse, or harmful code;
• collect personal data for unauthorized marketing, resale, harassment, or misuse;
• mislead, defraud, impersonate, threaten, harass, or harm any person;
• interfere with the platform’s operation or security;
• resell access to the platform without our written permission;
• use DOU materials in any unlawful, misleading, unauthorized, or reputationally harmful way.

9. Third-party services and links

The platform may use or link to third-party websites, documents, messaging tools, analytics tools, maps, automation systems, authentication providers, storage providers, property materials, payment services, CRM tools, or other services.

We do not control third-party services and are not responsible for their content, availability, accuracy, security, privacy practices, terms, failures, or actions. Your use of third-party services may be governed by their own terms and privacy policies.

10. Communications

By using the platform, submitting forms, creating an account, contacting us, or requesting information, you agree that we may contact you by email, phone, WhatsApp, Telegram, SMS, in-platform messages, or other reasonable communication channels for service, operational, account, security, enquiry, viewing, transaction, or support purposes.

Marketing communications will be handled in accordance with applicable law and our Privacy Policy.

11. Commercial arrangements, commissions, and referrals

Any commission, referral payment, commercial arrangement, incentive, or fee is subject to the specific written terms, program rules, transaction facts, and applicable law.

Unless expressly agreed in writing, DOU does not guarantee that any lead, enquiry, viewing, offer, referral, or transaction will result in a completed deal, commission, payment, or other commercial benefit.

Users are responsible for complying with all applicable brokerage, payment, anti-fraud, anti-money-laundering, professional conduct, and regulatory obligations.

12. Intellectual property

The platform, brand assets, design, text, graphics, logos, software, databases, workflows, page layouts, and other materials owned or controlled by DOU are protected by intellectual-property laws.

You may not copy, reproduce, modify, distribute, sell, lease, exploit, reverse engineer, or create derivative works from the platform or DOU-owned materials except as expressly permitted by these Terms or approved by us in writing.

Property photos, videos, brochures, floor plans, and other third-party materials may belong to their respective owners or licensors. Access to such materials through the platform does not transfer ownership or grant unrestricted usage rights.

13. Platform availability and changes

We may update, modify, suspend, withdraw, restrict, or discontinue any part of the platform, property materials, services, or features at any time.

We may also correct, remove, hide, or restrict any property information or user content where we believe it is inaccurate, outdated, unauthorized, unlawful, misleading, risky, or otherwise unsuitable for the platform.

We are not liable for any loss arising from platform downtime, changes, removals, restrictions, or discontinuation.

14. Disclaimer of warranties

The platform and all content are provided on an “as is” and “as available” basis.

To the fullest extent permitted by law, DOU disclaims all warranties, representations, and conditions, whether express, implied, or statutory, including warranties of accuracy, completeness, availability, reliability, merchantability, fitness for a particular purpose, non-infringement, regulatory compliance of user activity, and uninterrupted or error-free operation.

We do not guarantee the conduct, authority, honesty, licensing, solvency, availability, or performance of any user, owner, buyer, tenant, agent, broker, developer, service provider, or transaction counterparty.

15. Limitation of liability

To the fullest extent permitted by applicable law, DOU, CITADEL PARTNERS REAL ESTATE L.L.C, and their directors, employees, contractors, affiliates, partners, and representatives will not be liable for any indirect, incidental, special, consequential, exemplary, punitive, or economic losses, including loss of profit, loss of revenue, loss of data, business interruption, reputational harm, failed transactions, reliance on platform content, regulatory consequences caused by user conduct, or disputes between users and third parties.

To the fullest extent permitted by law, our total aggregate liability arising out of or relating to the platform, services, content, or these Terms will be limited to the amount paid by you to DOU for the relevant service during the three months before the claim arose, or AED 1,000, whichever is greater.

Nothing in these Terms excludes liability that cannot be excluded under applicable law.

16. Indemnity

You agree to defend, indemnify, and hold harmless DOU, CITADEL PARTNERS REAL ESTATE L.L.C, and their directors, employees, contractors, affiliates, partners, and representatives from and against any claim, complaint, investigation, fine, penalty, demand, loss, liability, damage, cost, or expense, including reasonable legal fees, arising from or related to:

• your use or misuse of the platform;
• your breach of these Terms or our Privacy Policy;
• inaccurate, misleading, unauthorized, or unlawful information submitted by you;
• your public advertising, publication, reposting, promotion, or regulated marketing activity involving DOU property materials;
• your breach of DLD, RERA, advertising, brokerage, privacy, intellectual-property, consumer-protection, anti-fraud, or other applicable laws;
• your interaction, dispute, transaction, or communication with any user, owner, buyer, tenant, agent, broker, developer, or third party;
• your negligence, fraud, bad faith, impersonation, or misconduct.

17. Suspension and termination

We may suspend, restrict, or terminate your access to the platform at any time if we reasonably believe that you have breached these Terms, violated law or regulation, misused property materials, created risk for DOU or other users, provided false or misleading information, compromised security, or acted in bad faith.

Termination does not affect rights and obligations intended to survive, including clauses relating to intellectual property, disclaimers, limitation of liability, indemnity, data protection, governing law, and dispute resolution.

18. Governing law and jurisdiction

These Terms are governed by the laws of Dubai and the applicable federal laws of the United Arab Emirates.

Subject to any mandatory applicable law, the courts of Dubai, United Arab Emirates will have exclusive jurisdiction over any dispute arising out of or relating to these Terms, the platform, or related services.

19. Changes to these Terms

We may update these Terms from time to time to reflect changes in our platform, services, business, legal requirements, technology, or risk controls.

The updated version will be posted on the platform with a revised “Last updated” date. Continued use of the platform after changes are posted means you accept the updated Terms.
